OVERVIEW
This website and the online shop at shop.openuc2.com are operated by openUC2 GmbH, Hans-Knöll-Str. 6, 07745 Jena, Germany. Throughout the site, the terms "we", "us" and "our" refer to openUC2 GmbH. openUC2 GmbH offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.
By visiting our site and/or purchasing something from us, you engage in our "Service" and agree to be bound by the following terms and conditions ("Terms and Conditions", "Terms"), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms and Conditions apply to all users of the site, including without limitation users who are visitors, vendors, customers, merchants, and/or contributors of content.
Please read these Terms and Conditions carefully before accessing or using our site. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, do not access the site or use any services.
In these Terms, a "consumer" is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or self-employed profession (Section 13 German Civil Code, BGB). A "business customer" is any natural or legal person or partnership with legal capacity acting in the exercise of its trade, business or self-employed profession (Section 14 BGB), as well as any legal entity or special fund under public law, such as universities and public research institutions. Where these Terms contain provisions specific to consumers or to business customers, those provisions take precedence.
These Terms apply exclusively. Deviating, conflicting or supplementary terms and conditions of business customers, such as purchasing conditions, do not become part of the contract unless we expressly agree to them in writing. This also applies if we deliver without reservation in the knowledge of such terms.
Any new features or tools that are added to the current store shall also be subject to these Terms of Service. You can review the most current version of the Terms of Service at any time at this page. Each purchase is governed by the version of these Terms in force at the time the order is placed (see Section 23).
Our store is hosted by Odoo S.A., which provides us with the online e-commerce platform that enables us to sell our products and services to you.
SECTION 1 - ONLINE STORE TERMS
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your jurisdiction of residence, or that you are the age of majority in your jurisdiction of residence and you have given us your consent to allow any of your minor dependents to use this site.
You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
You may not transmit any worms, viruses or any other code of a destructive nature.
The breach or violation of any of these Terms will result in an immediate termination of your Service.
SECTION 2 - GENERAL CONDITIONS
We reserve the right to refuse service to anyone for any reason at any time.
You understand that your information (not including credit card information), may be transferred unencrypted and may involve (a) transmissions over various networks and (b) changes to conform and adapt to technical requirements of connected networks or devices. Credit card information is always encrypted when transmitted over networks.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.
The headings used in this agreement are for convenience only and will not limit or otherwise affect these Terms.
SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION
We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk.
This site may contain certain historical information. Historical information is not necessarily current and is provided for your reference only. We reserve the right to change content on this site at any time, but we are under no obligation to update any information on our site. You agree that it is your responsibility to monitor any changes to our site.
SECTION 4 - CHANGES TO SERVICE AND PRICES
Prices for our products are subject to change without notice. Price changes do not affect orders already placed; the price shown at the time of your order applies.
We reserve the right at any time to modify or discontinue the Service (or any part or content thereof) without notice at any time.
openUC2 GmbH shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service. This does not affect contracts already concluded or the provisions of Section 17.
SECTION 5 - PRODUCTS OR SERVICES
Certain products or services may be available only online through the website. Such products or services may have limited quantities. Consumers may withdraw from a purchase in accordance with our Cancellation Policy. Your statutory rights in respect of defects remain unaffected (see Section 17).
We have made every effort to display as accurately as possible the colors and images of our products that appear on the store. We cannot guarantee that your computer monitor will display every color correctly.
We reserve the right, but are not obligated, to limit the sales of our products or Services to certain persons, geographic regions or jurisdictions. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities of any product or service that we offer. All descriptions of products or product pricing are subject to change at any time without notice and at our sole discretion; changes do not affect orders already placed. We reserve the right to discontinue any product at any time. Any offer for a product or service made on this site is void where prohibited.
Product descriptions, images and technical data describe the characteristics of our products. They do not constitute a guarantee (Section 443 BGB) unless expressly designated as such.
Intended use. Our products are open-source optical, mechanical and electronic modules intended for research, education, training and prototyping. They are not medical devices, have not been placed on the market as medical devices and must not be used for the diagnosis, prevention, monitoring, treatment or alleviation of disease in humans or animals.
Many of our products are supplied as kits or modules that the customer assembles, modifies or combines with other components. The customer is responsible for correct assembly and use in accordance with the documentation supplied and for complying with the safety regulations applicable at the place of use. This applies in particular to products containing lasers: the customer must observe the laser class stated on the product and in its documentation, take appropriate protective measures (for example suitable laser safety eyewear) and ensure that such products are only operated by persons who have been instructed accordingly. Your statutory rights in respect of defects and our liability under Section 17 remain unaffected.
SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION
We reserve the right to refuse any order you place with us before we have accepted it. We may, in our sole discretion, limit quantities per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we do not accept an order or accept it only in part, we will notify you by contacting the email and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole discretion, appear to be placed by dealers, resellers or distributors.
You agree to provide current, complete and accurate purchase and account information for all purchases made at our store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.
For information on the consumer right of withdrawal, please review our Cancellation Policy.
SECTION 7 - CONCLUSION OF CONTRACT
7.1 No binding offer. The presentation of products in our online shop does not constitute a legally binding offer but an invitation to place an order.
7.2 Ordering process. To place an order, add the desired products to the shopping cart, proceed to checkout, enter or confirm your delivery and billing address, select a payment method and review your order on the summary page. Until you click the final order button, you can correct your entries at any time using the edit functions, the shopping cart or your browser's back button, or cancel the order process entirely. By clicking the order button, you submit a binding offer to purchase the products in your shopping cart.
7.3 Acceptance. Immediately after receiving your order, we will send you an order confirmation by email. With this order confirmation we accept your order, and the contract is concluded. If you do not receive the order confirmation, the contract is concluded at the latest when we dispatch the goods.
7.4 Contract text. We store the contract text. You will receive your order data by email. You can view, save and print these Terms at any time at shop.openuc2.com/conditions. If you have created a customer account, you can also view your orders there.
7.5 Contract language. The contract language is English.
SECTION 8 - PRICES AND PAYMENT
8.1 Prices. The prices shown at the time of your order apply. Prices include statutory value added tax (VAT). Shipping costs are added and shown separately in the checkout before you place your order (see Section 9). The VAT applied depends on the country of delivery and on whether you purchase as a consumer or as a business customer, and is shown in the checkout before you place your order. Business customers with a valid VAT identification number in another EU member state are invoiced without VAT under the reverse charge procedure. Deliveries to countries outside the EU are generally invoiced without German VAT.
8.2 Payment methods. In the online shop, payment is made in advance by bank transfer. Our bank details are provided during the ordering process. Purchase on account, PayPal or other payment methods can be agreed individually on request.
8.3 Due date. The purchase price is due upon conclusion of the contract. For payment in advance, we dispatch the goods after receipt of payment. Where purchase on account has been agreed, the invoice amount is payable without deduction within 30 days of the invoice date.
8.4 Default. If you are in default of payment, we charge default interest at the statutory rate. We reserve the right to claim further damages caused by the default.
SECTION 9 - DELIVERY, SHIPPING COSTS AND CUSTOMS
9.1 Delivery times. We deliver to the delivery address you provide. Delivery times are shown on the respective product page. For payment in advance, the delivery period begins on the day after you instruct your bank to make the transfer.
9.2 Shipping costs. Shipping rates are calculated automatically based on the destination country and shown in the checkout. We reserve the right to adjust the shipping cost and contact you before dispatch if the actual rate exceeds the displayed amount by more than 20%. In that case, you will have the option to confirm or cancel your order. Price differences may occur for deliveries to crisis regions, remote or hard-to-reach areas, or due to other unforeseen circumstances that significantly increase shipping costs.
9.3 Customs and import charges. For deliveries to countries outside the EU, customs duties, import VAT and other charges may be levied in the country of destination. These are borne by the customer, who is also responsible for import clearance (Incoterms 2020: DAP).
9.4 Export control. Our obligation to deliver is subject to delivery not being prevented by applicable export control or sanctions regulations.
9.5 Transfer of risk. If you are a consumer, the risk of accidental loss or deterioration of the goods passes to you upon delivery. If you are a business customer, the risk passes to you upon handover of the goods to the carrier; if dispatch is delayed at your request, the risk passes upon notification that the goods are ready for dispatch.
9.6 Transport damage. Please report visibly damaged packaging or goods to the carrier on delivery and notify us as soon as possible. This helps us to assert claims against the carrier. For consumers, failure to do so has no effect on statutory rights. For business customers, Section 17.3 applies.
SECTION 10 - RETENTION OF TITLE
The goods remain our property until the purchase price has been paid in full.
SECTION 11 - ADDITIONAL TOOLS
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.
You agree that we provide access to such tools 'as is' and 'as available' without any warranties, representations or conditions of any kind and without any endorsement. Subject to Section 17, we will have no liability arising from or relating to your use of additional third-party tools.
Any use of additional tools offered through the site is at your own risk and discretion and you should ensure that you are familiar with and agree to the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new services and/or features through the site (including the release of new tools and resources). Such new features and/or services shall also be subject to these Terms of Service.
SECTION 12 - THIRD PARTY LINKS
Certain content, products and services available through our Service may include materials from third-parties.
Third-party links on this site may direct you to third-party websites that are not affiliated with us. We are not responsible for examining or evaluating the content or accuracy and we do not warrant and will not have any liability or responsibility for any third-party materials or websites, or for any other materials, products, or services of third parties.
Subject to Section 17, we are not liable for any harm related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Please read carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.
SECTION 13 - USER COMMENTS, FEEDBACK AND OTHER SUBMISSIONS
If, at our request, you send certain specific submissions (for example contest entries) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, reproduce, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and will be under no obligation to (1) keep comments confidential, (2) pay any compensation for comments, or (3) respond to comments.
We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party's intellectual property or these Terms of Service.
You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy or personality rights, or other personal or proprietary rights. You further agree that your comments will not contain libelous, defamatory or otherwise unlawful, abusive, hateful or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Services or any related website or application. You may not use a false e-mail address, impersonate any person, or mislead us or third-parties as to the origin of any comments. You are solely responsible for your comments and their accuracy. We are not responsible or liable for any comments posted by you or any third party.
SECTION 14 - PERSONAL INFORMATION
The submission of personal information through the store is governed by our Privacy Policy. Please read our Privacy Policy.
SECTION 15 - ERRORS, INACCURACIES AND OMISSIONS
Occasionally there may be typographical errors, inaccuracies or omissions on our website or the Service that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, to change or update information at any time without prior notice, and to cancel orders affected by such errors that we have not yet accepted. Once we have accepted an order, our statutory rights, in particular the right to rescind for error, remain unaffected.
We undertake no obligation to update, amend or clarify information in the Service or on any related website, including without limitation, pricing information, except as required by law. Any specified update dates provided in relation to the Service or on any related website should not be taken to indicate that all information in relation to the Service or on any related website has been modified or updated.
SECTION 16 - PROHIBITED USES
In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the site or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful activity; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe or violate our or others' intellectual property rights; (e) to harass, abuse, insult, harm, defame, slander, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to transmit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will in any way affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (h) to collect or track personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or of any related website, other websites, or the Internet. We reserve the right to terminate your use of the Service or any related website if you violate any of the prohibited uses.
SECTION 17 - WARRANTY FOR DEFECTS AND LIMITATION OF LIABILITY
17.1 Website availability. We do not guarantee that your use of our website will be uninterrupted, timely, secure or error-free, and we may suspend or discontinue the website at any time without notice. This does not affect our obligations under contracts already concluded.
17.2 Statutory rights for defects. The statutory provisions on liability for defects (Sections 434 et seq. BGB) apply to all purchases, subject to Sections 17.3 to 17.5. For consumers, the statutory provisions apply without restriction, including the two-year limitation period.
17.3 Business customers. For business customers, claims arising from defects become time-barred one year after delivery of the goods. This shortened period does not apply to:
- claims for damages for which we are liable without limitation under Section 17.4,
- claims based on a defect that we have fraudulently concealed or for which we have given a guarantee,
- recourse claims under Sections 445a, 445b and 478 BGB where the goods were resold to a consumer.
If the purchase is a commercial transaction for both parties (Section 377 German Commercial Code, HGB), the business customer must inspect the goods without undue delay after delivery and notify us of any defects in text form (for example by email) within one week of receipt. Defects that could not be detected during this inspection must be notified in text form without undue delay after their discovery. If the business customer fails to give timely notice, the goods are deemed approved.
17.4 Unlimited liability. We are liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz), and where we have given a guarantee or fraudulently concealed a defect.
17.5 Limited liability for slight negligence. In cases of slight negligence, we are liable only for breach of an essential contractual obligation. An essential contractual obligation is one whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment the customer may regularly rely, for example the delivery of goods free from defects. In such cases, our liability is limited to the damage that is foreseeable and typical for this type of contract. Otherwise, our liability for slight negligence is excluded.
17.6 Representatives and agents. The limitations of liability in this Section 17 also apply to the personal liability of our directors, employees, vicarious agents and other representatives.
SECTION 18 - INDEMNIFICATION
If a third party asserts claims against openUC2 GmbH, its directors, employees or agents because a business customer has culpably breached these Terms of Service, the documents they incorporate by reference, applicable law or the rights of a third party, the business customer shall indemnify us against such claims, including reasonable costs of legal defence. For consumers, the statutory provisions apply.
SECTION 19 - SEVERABILITY
If any provision of these Terms and Conditions is or becomes invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid or unenforceable provision shall be replaced by the applicable statutory provisions (Section 306 BGB).
SECTION 20 - TERMINATION
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms and Conditions shall survive termination by either you or us. You may terminate these Terms and Conditions at any time by notifying us that you no longer wish to use our Services, or when you cease using our website.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any provision of these Terms of Service, we may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination and/or we may deny you access to our Services (or any part thereof). Contracts of sale already concluded remain unaffected.
SECTION 21 - ENTIRE AGREEMENT
These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitute the entire agreement and understanding between you and us and govern your use of the Service, and supersede any prior versions of the Terms of Service. Individual agreements made with you, including quotations and order confirmations, take precedence over these Terms (Section 305b BGB).
SECTION 22 - GOVERNING LAW AND JURISDICTION
These Terms of Service and all contracts concluded between you and openUC2 GmbH are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer with habitual residence outside Germany, this choice of law does not deprive you of the protection afforded by the mandatory provisions of the law of the country in which you have your habitual residence.
If you are a merchant (Kaufmann), a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from or in connection with contracts with us is Jena, Germany. The same applies to business customers who have no general place of jurisdiction in Germany. We remain entitled to bring an action at your general place of jurisdiction.
SECTION 23 - CHANGES TO THESE TERMS OF SERVICE
You can review the most current version of the Terms of Service at any time at shop.openuc2.com/conditions.
We may amend these Terms of Service with effect for the future, for example to reflect changes in the law or in our product range. Each order is governed by the version of these Terms in force at the time the order is placed. Amendments do not apply to orders already placed.
SECTION 24 - CONTACT INFORMATION
Questions about the Terms of Service should be directed to us at sales@openuc2.com.
SECTION 25 - CONSUMER DISPUTE RESOLUTION
We are willing to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle). The competent body is the Universalschlichtungsstelle des Bundes, Zentrum für Schlichtung e.V., Straßburger Straße 8, 77694 Kehl am Rhein, Germany, www.universalschlichtungsstelle.de.
